MONSTER FEDERATION USER AGREEMENT
("MFUA")

Please take the time to review this MFUA and the policies set out in the Privacy Statement as there are legal obligations that may apply to you as a User of the Monster Federation Game. QuickPlay may amend this MFUA and/or the policies set out in the Privacy Statement as it determines. You acknowledge that it is the User's responsibility to review the terms of this MFUA from time to time as may be posted on the Monster Federation Game website (http://www.monsterfederation.com/).

A.	Terms of this Monster Federation User Agreement
0.	The "Monster Federation Game" is a multi-player online fantasy game that is being made available by QuickPlay Media Inc. ("QuickPlay") to you (the "User"). Your use of the Monster Federation Game is subject to your agreement to the terms and conditions contained in this Monster Federation User Agreement ("MFUA"). Also, because the Monster Federation Game includes message board activities, you must also comply with our Conduct Policies. Below you will find an "I ACCEPT" button and an "I DO NOT ACCEPT" button where you may or may not confirm your acceptance of this MFUA and your agreement to comply with the Conduct Policies. Where you click on the "I ACCEPT" button you are agreeing to comply with the terms and conditions of the MFUA and the Conduct Policies. In the event that you do not wish to accept the MFUA and/or comply with the Conduct Policies, you will not be licensed to play the Monster Federation Game. 
1.	QuickPlay may from time to time amend this MFUA and/or modify the Conduct Policies. As the User, you agree as part of this MFUA to check from time to time the MFUA in order to ascertain any amendments to this MFUA and/or the Conduct Policies. QuickPlay shall use reasonably commercial efforts to advise you of any amendments. If you decide that you cannot accept any of the modifications to the MFUA or any of the Conduct Policies then please stop any use of the Monster Federation Game.

B.	Monster Federation Game.
2.	The Monster Federation Game is accessible through the website (www.monsterfederation.com), subject to any changes by QuickPlay.  In order to use and play the Monster Federation Game you need to download the Monster Federation Game from the Monster Federation Game website. The Monster Federation Game is being made available to you on a without charge basis from QuickPlay. You, however, are responsible for all expenses and costs to access, download and play the Monster Federation Game. All information that is downloaded from the Monster Federation Game website to the User's computer, and including the website itself, is Software for the purposes of this MFUA.

C.	The Licence.
3.	QuickPlay grants to the User, for the User's personal use only, a non-exclusive, revocable, non-transferable (except in the circumstances of a parent/guardian to a User under the age of 18 years of age as set out in this MFUA) licence to use the Monster Federation Game and the Software associated with the Monster Federation Game for the duration of this MFUA, which may be terminated automatically by the Users breach of this MFUA or by QuickPlay upon notice to the User or where QuickPlay no longer makes the Monster Federation Game available for use by the User. 
4.	The User may not do the following: a) rent, lease, loan, sublicense or otherwise transfer the Software associated with the Monster Federation Game (or any part thereof) b) modify, adapt, reverse engineer or decompile the Software, or otherwise attempt to derive the source code from the Software; c) create any derivative works based upon the Software or the Monster Federation Game; d)  otherwise use the Software of the Monster Federation Game except as expressly provided in this MFUA.
5.	All title to the Software and any and all rights to the Software that are not specifically set out in this MFUA.

D.	Monster Federation Account.
6.	To play the Monster Federation Game it is necessary to create a password protected account. This account allows you to play the game with other individuals and for you to take part in the messaging and communication areas of the Monster Federation Game. Your account is subject to QuickPlay's discretionary right to delete or otherwise terminate the license associated with any account, without any notice and for any reason, including without any limitation, any suspected or actual infringement of any trademark, trade name or right, copyright or other proprietary rights. A User by his/her acceptance of this MFUA acknowledges that the User has no rights in any account name.
7.	As part of the Monster Federation, a User must also create character names. As with the User's account name, you agree that QuickPlay has a discretionary right to delete or otherwise terminate the license associated with any account, without any notice and for any reason, including without any limitation, any suspected or actual infringement of any trademark, trade name or right, copyright or other proprietary rights. A User by his/her acceptance of this MFUA acknowledges that the User has no rights in any account name.
8.	In setting up a password, the User is responsible for maintaining the confidentiality of his/her password and for any harm that may result from any misuse of the password or allowing the disclosure of the password. 
9.	The User, in registering for his/her account must provide true, accurate, current and complete information so that the Monster Federation game may be used properly. In the event that QuickPlay becomes aware or suspects that a User's information may be inaccurate, incomplete and not current, the User's license may be suspended or terminated.

E.	Privacy and the Messaging and Communications Areas of the Monster Federation Game
10.	As part of the Monster Federation Game, a User has the opportunity to communicate with other Users. The Privacy Statement (which is a part of this MFUA) provides the policies that govern the messaging and communications features of the Monster Federation Game. By agreeing to the MFUA you agree to the Privacy Statement.

F.	GUIDANCE - Parental  & Guardians
11.	Inasmuch as the messaging and communications areas may be unmonitored, QuickPlay may chose to monitor and take action with respect to any communications and/or game play of the Monster Federation Game that QuickPlay determines, suspects or is informed about that in its own discretion determines is inappropriate for children or that may be offensive to any User. A User, however, agrees and acknowledges that from time to time certain messages and communications may be in appropriate and that QuickPlay does not offer any pre-screen of any content, materials or communications transmitted by and between Users.

G.	Disclaimer of Warranties.
12.	The Monster Federation Game and website, messaging and communications areas and the Software, a User's account and password and any other future services that may be offered through the Monster Federation Game and/or website ARE PROVIDED ON AN "AS IS" BASIS AND YOUR USE OF THE FOREGOING IS AT YOUR OWN RISK TO YOU AND YOUR EQUIPMENT, AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, QUICKPLAY HEREBY DISCLAIMS ALL WARRANTIES OR CONDITIONS OF ANY KIND, WRITTEN OR ORAL, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OR TITLE, NONINFRINGEMENT, MERCHANTABILITY, QUIET ENJOYMENTS, ACCURACY, OR FITNESS FOR A PARTICULAR PURPOSE OR WITH RESPECT TO ANY RELIABILITY OF THE FOREGOING, INCLUDING ANY MESSAGING AND COMMUNICATIONS FEATURES OF THE MONSTER FEDERATION GAME AND WEBSITE. Without any limitation to the foregoing, QuickPlay provides no warranty or assurance that the Software (including the Monster Federation Game and website) will be error and virus free. PLEASE NOTE:  in the United States of America, certain states do not allow any disclaimer of any implied warranties and therefore to that extent the foregoing disclaimer may not apply to such applicable User.

H.	LIMITATION OF LIABILITY
13.	IN NO EVENT SHALL QUICKPLAY, ITS DIRECTORS, OFFICERS, EMPLOYEES OR SHAREHOLDERS, PARTNERS, AFFILIATES BE LIABLE TO ANY USER OR ANY THIRD PARTYFOR ANY DAMAGES WHETHER DIRECT OR INDIRECT AND FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION - CONFIDENTIAL OR OTHERWISE, OR ANY PECUNIARY LOSS, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT AND/OR STRICT LIABILITY) ARISING OUT OF OR IN CONNECTION WITH THE MONSTER FEDERATION GAME AND WEBSITE AND THE SOFTWARE AND/OR INFORMATION EXCHAGED WITH RESPECT TO THE PROCESSES RELATED TO THE MONSTER FEDERATION GAME, ANY ACCOUNT SET UP BY THE USER, USE OF USER'S PASSWORD, THAT MAY BE INCURRED BY THE USER, WHETHER OR NOT QUICKPLAY BECOMES AWARE OF ANY OF THE FOREGOING THAT ANY SUCH DAMAGES MAY OCCUR OR COULD OCCUR. To the extent that the law of any state does not allow such limitations on liability, the foregoing and the extent thereof may not apply to you.

I.	INDEMNIFICATION

14.	By your acceptance of this MFUA, you agree to indemnify and hold harmless QuickPlay, its directors, officers,  employees, shareholders, partners, affiliates, subsidiaries and the directors, officers, employees, shareholders of such affiliates and subsidiaries from any and all damages, liabilities, claims and expenses, including without limitation reasonable attorney's fees and costs, arising from or related to, directly and/or indirectly, to any misuse of the Monster Federation Game and website, messaging and communications areas and/or the Software or breach by the User of the MFUA (including the policies set out in the Privacy Statement).

J.	TERMINATION

15.	QuickPlay reserves the right to suspend or terminate the User's license and account associated with the use of the Monster Federation Game and website, and/or access to any messaging and communication areas immediately and without any notice to the User if the User breaches this MFUA or contravenes or assists, directly or indirectly, whether or not such contravention is material or not, in the contravention of the policies set out in the Privacy Statement, or if the User willfully infringes any third party intellectual or other proprietary rights, or if information submitted by the User is unable to be verified or authenticated or if any submissions related to the use of the Monster Federation Game and/or its use is, in the sole discretion of QuickPlay, determined to be inappropriate for any reason.

K.	MISCELLANEOUS
16.	This MFUA (including the policies of the Privacy Statement) is the sole agreement between you and QuickPlay. The MFUA is governed by and shall be construed and enforced in accordance with the laws of the Province of Ontario CANADA without any application of or reference to any conflicts of laws principles. Both the User and QuickPlay hereby irrevocably consent to the sole jurisdiction of the courts of Ontario with respect to and for all purposes related to any disputes whatsoever with respect to this MFUA and the Privacy Statement. Any and all actions are to be brought only in the courts within the jurisdiction of the courts of Ontario located in Toronto Ontario. If any provision of this MFUA is held to be invalid or unenforceable, then to the extent of such invalidity or unenforceability, such provision shall be struck and the remaining provisions shall be deemed to be valid and enforceable. Except as set out in this MFUA you may not assign this MFUA. Any failure by QuickPlay to act with respect to a User's breach shall not be deemed a waiver of such breach. Any default, delay, failure or inability to perform by QuickPlay shall not be a breach by QuickPlay where such default, delay, failure or inability to perform is due, directly or indirectly, to causes beyond the control of QuickPlay.
